Dish TV India names Sanjay Banerjee as director
The Dish TV board has given the nod for the appointment of Sunil Khanna as an independent director and Ravi Bhushan Puri as an executive director of the company. Shares of Dish TV India Ltd ended at ₹21.43, up by ₹0.54, or 2.58%, on the BSE.
Direct-to-home satellite TV firm Dish TV India Ltd on Monday (December 18) said the company’s Nomination and Remuneration Committee has recommended Sanjay Banerjee for a directorial role.
However, before proceeding with the appointment, the company has been advised to file necessary applications with the Ministry of Information and Broadcasting, seeking the required approval as per the Up-linking Guidelines.
In a separate announcement, Dish TV India disclosed key appointments approved by the board of directors during their meeting on December 18, 2023. The board has given the nod for the appointment of Sunil Khanna as an independent director and Ravi Bhushan Puri as an executive director of the company.
Sunil Khanna’s appointment is subject to the approval of the Ministry of Information and Broadcasting, as per the Policy Guidelines for Uplinking and Downlinking of Television Channels (Up-linking Guidelines), or the date when the number of directors falls below the statutory minimum of three. The tenure of his directorship is set for five years from the effective date, and he will not be liable to retire by rotation.
On the other hand, Ravi Bhushan Puri’s appointment is also contingent on the ministry’s approval or the situation where the board’s number of directors drops below the statutory minimum. His term will last until September 30, 2024, and he will be subject to retirement by rotation.
Importantly, Puri will not receive additional remuneration for the directorship, maintaining his current role as ‘corporate head of broadcasting’ with the company. Both appointments will seek approval from the shareholders in accordance with applicable regulatory provisions, the company added.
Puri is a multi-skilled professional with a track record of managing broadcast projects and stakeholder expectations while taking full responsibility for delivering the project objectives. He is responsible for managing the STB product development life cycle and broadcast operations with compression, baseband, electrical, playout & RF infra for the company.
Khanna is a BTech (hons) from IIT Kharagpur and a PGDBM from IIM Bangalore. He has worked extensively in the media industry in India since the launch of the first satellite TV channel in India and has contributed significantly to the development of the various scalable and innovative business models in the industry.
